April 21, 2010 - Council Minutes

A meeting of the Board of Directors was held on Wednesday, April 21, 2010 at 5:00 pm at the Aboriginal Centre, 310-181Higgins Ave, Winnipeg, Manitoba.
Present: Damon Johnston (Chair), Marileen Bartlett, Wayne Helgason, Geraldine Grayeyes von Ramin, Maeengan Linklater, Darrell Sais, Samual Lavallee, Carol Gushulak (Staff)
Regrets: Darren Champagne, Clayton Prette, Kevin Chief
Guest: Michelle Amos (ACW Youth Intern), Mina McKay (Community Member)

1. CALL TO ORDER
The meeting was called to order at 5:34 p.m. by President, Damon Johnston.

2. APPROVAL OF AGENDA
The agenda dated April 21, 2010 was reviewed by the Board of Directors.
Amendments
Add item: Under #7 New Business – a) Women's Report, Geraldine Grayeyes von Ramin
Motion: 04.10.18That the agenda dated April 21, 2010 be accepted with amendment.

Introductions
President, Damon Johnston introduced Michelle Amos, who is now ACW's new Youth Intern / City Liaison to the Board. Introductions were also made to Michelle Amos by each Director.

3. APPROVAL OF PREVIOUS MINUTES
The previous minutes, dated March 17, 2010 were reviewed by the Board.
Amendment:
That the vote result on Motion 03.10.15 be changed to "Carried with 1 abstention". - Geraldine Grayeyes von Ramin.

That the minutes dated March 17, 2010 with amendment be accepted.

4. BUSINESS ARISING FROM PREVIOUS MINUTES
Board Governance Retreat
After discussion, the Board agreed that the Governance Retreat should be scheduled for a weekend. ACW staff will send Consultant, David Church notification of decision so he can schedule accordingly.

5. FINANCIAL REPORT
Treasurer, Marileen Bartlett presented the Financial Report dated March 31, 2010 to the Board for review.
Def-Data Base Program
There was a discussion on item, Def-Data Base Program on the Financial Report. The Board agreed that the President make an inquiry to ANA on how to have this item written off the Financial Report.

ACW Portfolios
Motion: 04.10.21
That Director, Samual Lavallee be appointed Chair of the Aboriginal Council of Winnipeg's Youth Portfolio.

The Board agreed that the President provide the Board with a "Terms of Reference" on each portfolio.
Community Engagement
The President had provided the Directors with a copy of the "Community Engagement Project Report that was constructed by Leskiw & Associates. The Board is to review as there will be a discussion on this report at the Governance Retreat.
Tripartite
The President had provided a copy of the "Terms of Reference for the ACW- Tripartite Joint Management Committee to the Board for information. The President informed the Board that this document was prepared to replace the ACW's MOU (Memorandum of Understanding) agreement.
Urban Aboriginal Conference
There was a discussion on the Urban Aboriginal Conference that ACW will be including as part of ACW's Annual General Meeting this year.

That Director, Darryl Sais be appointed Chair of the Urban Aboriginal Conference Committee.

7. NEW BUSINESS
a) Women's Report – Geraldine Grayeyes von Ramin
Geraldine Grayeyes informed the Board that the final draft of the Women's Report has yet to be approved by the Board. The Board agreed that the Women's Report will first be reviewed and any issues of concern will be address to the President for follow up.

8. NEXT MEETING
The next Board of Director's meeting is scheduled May 12, 2020 at 5:00 pm.

9. ADJOURNMENT

That the meeting be adjourned.
